TERMS OF SERVICE
We at Southerly Communications Ltd (company registration number 06997401, registered address at Flat H, Endlesham Court, Endlesham Road, London, England, SW12 8JR) (“we”, “us”, “our”) are excited to welcome you to our website, www.behaves.works (“Site”). To contact us please email support@behaves.works.
The terms and conditions in Part B apply to all users of the site (“Users”, “you”). If you do not agree with these terms and conditions please immediately stop using the Site. If you sign up for the Behaves academy e-learning course (“Behaves”), you will be asked to agree to the terms and conditions in both Parts A and B, which will then apply to you.
Part A
Access to Behaves
1. Access to Behaves is restricted to those who purchase a licence.
2. Licences purchased by individuals permit access to Behaves for one, named, person only.
3. Licenses purchased by corporates permit access to Behaves for a pre-agreed number of named people, each of whom will be allocated unique registration details.
4. Licences may only be used by the person to whom the licence is allocated. Licences cannot be transferred to or used by any other person. It is the responsibility of each Licensee to keep their registration details confidential and notify us immediately should their details be lost or stolen.
5. Each licence is valid for a period of 12 months, after which the licence will automatically terminate and Users will no longer be able to access Behaves. Please ensure that you download all certificates of completion before the end of the licence period as it will not be possible to do so once it has ended.
Purchase of Licences
6. Individual licences and corporate licences for up to 50 people can be purchased directly from the Site. Please contact support@behaves.works for the purchase of licences for 50 people or more.
7. Once a purchase has been completed, registration details will be sent to the email address provided at the time of purchase within 24 hours.
8. We reserve the right to refuse any order for licences that you place with us.
Behaves Content
9. We reserve the right to make changes to the Behaves content without notice, provided that, in the event of any material change we will notify Licensees of this first.
Cooling-Off Period for Individuals
10. Subject to paragraph 11, individuals who purchase a licence are entitled to cancel that purchase within 14 days (“Cancellation Period”).
11. During the licence purchase process you will be asked to consent to us permitting you access to Behaves during the Cancellation Period. This is a statutory requirement to allow us to permit you access to the content immediately. You acknowledge that if you provide such consent your right to cancel that purchase will be lost and no cancellation of the licence will be possible.
12. Any request to cancel a licence should be made by email to support@behaves.works.
Terminating a Licence
13. Subject to the rights for individuals set out in paragraphs 10 to 12 above, licences are non-refundable.
14. We may terminate your licence immediately, without notice and without any liability to make any refund or other payment to you if you breach these terms of use.
15. Upon termination of a licence, users will no longer by able to access Behaves.
Part B
What do you agree to when using this Site
1. We will not be liable for any loss, injury, or damage from the display or use of the information on the Site.
2. The User accepts all data and information provided on the Site is for informational purposes only.
3. We may change, update or otherwise amend the Site at our absolute discretion at any time and without notice.
4. You acknowledge & accept the Privacy Policy and any other terms or conditions found on the site.
Who can use the Site & access the Services
5. You are granted a non-exclusive, limited and revocable licence to access the Site on the condition that:
a. You only use the Site for lawful purposes;
b. You do not engage in any defamatory, improper, indecent or offensive behaviour;
c. You are not breaking any local, national or European law in your relevant jurisdiction by accessing this Site;
d. You will treat the Site and its Users with respect and will not partake in any conduct that could be considered bullying, harassment, degradation, insulting or otherwise demeaning to the human standard of any other person (as determined by us); and
e. You do not breach any of these terms and conditions.
Site availability
6. By using this Site you acknowledge that we are not required to keep the Site available for your use and we make no warranties as to its availability.
7. We accept no responsibility for the unavailability of this Site, or any offers of services found on the Site (including Behaves and the Behaves Handbook) (“Services”), and you agree that we are not liable for any loss or damage that you or any other person may incur by not being able to access the Site.
8. We make no guarantees, implied or express, as to the ongoing availability of the Site or Services.
Intellectual property
9. All content on the Site or provided in connection with the Services are the copyright and property of Southerly Communications Ltd. Without our express written permission, you shall not:
a. Replicate all or part of the Site or Services in anyway; or
b. Incorporate all or part of the Site or Services in any other webpage, site, application or other digital or non-digital format.
c. We have moral & unregistered rights in our trademarks and you shall not copy, alter, use or otherwise deal in the marks without our prior written consent.
d. You agree that by using the Site you will not copy the Site or Services for your own commercial purposes.
Third party websites & advertising
10. The Site may contain articles, information & advertising from third-party businesses, people & websites (“Third Parties”). You consent to receiving this information as part of your use of the Site.
11. We are not responsible for any information transmitted by Third Parties or liable for any reliance you make upon the information or statements conveyed by Third Parties (or in relation to your dealings with Third Parties), nor are we responsible for the accuracy of any advertisements.
Limitation of liability & indemnity
12. You agree that you use the Site and the Services at your own risk.
13. You acknowledge that we are not responsible for the conduct or activities of any User and that we are not liable for such under any circumstances.
14. You agree to indemnify us for any loss, damage, cost or expense that we may suffer or incur as a result of, or in connection with, your use of or conduct in connection with the Site, including any breach by you of these terms.
15. In no circumstances will we be liable for any direct, indirect, incidental or consequential damages, loss or corruption of data, loss of profits, goodwill, bargain or opportunity, loss of anticipated savings or any other similar or analogous loss resulting from your access to, or use of, or inability to use the Site or any content, or in any way relating to an experience itself (or the provision or non-provision of an experience), whether based on warranty, contract, tort, negligence, in equity or any other legal theory, and whether or not we knew or should have known of the possibility of such damage to business interruption of any type, whether in tort, contract or otherwise.
Privacy policy
16. You acknowledge and accept the Privacy Policy and agree that you will not do anything that shall compromise compliance with the Privacy Policy nor do anything contrary to the Privacy Policy insofar as your use of the Site is concerned.
17. We may amend the Privacy Policy from time-to-time without notice and at our absolute discretion, and by continuing to use the Site you accept such changes. Please review the Privacy Policy regularly to ensure you are up to date with its contents.
Termination & cancellation
18. Your use of the Site may be cancelled at any time, for any reason, by us on a temporary or permanent basis by written notice. You must immediately cease using the Site should you receive a notice cancelling your license to use the Site.

General
21. Nothing in these terms & conditions shall be deemed to form a relationship between us and you of joint venture, partnership, employment or other association in any way other than parties to these terms & conditions.
22. Any provision of these terms & conditions, which is invalid or unenforceable in any jurisdiction, is, as to that jurisdiction, ineffective to the extent of the invalidity or unenforceability without affecting the remaining provisions of these terms & conditions or affecting the validity or enforceability of that provision in any other jurisdiction. The parties will negotiate in good faith to replace any such provision with a provision which is valid and enforceable and consistent with the intention of these terms & conditions, so far as is reasonably practicable.
23. For the purposes of these terms & conditions, “Force Majeure” means any cause beyond our control including, without limitation, act of God, war, insurrection, riot, civil disturbances, acts of terrorism, fire, explosion, flood, theft of essential equipment, malicious damage, strike, lock out, weather, third party injunction, national defence requirements, actions taken by the police, acts or regulations of national or local governments. We will not be liable to you for failure to perform any obligation under these Terms & Conditions to the extent that the failure is caused by Force Majeure, and you shall not be entitled to any refund of any licence fee or any other loss.
24. A consent, notice or communication under these terms & conditions is effective if it is sent as an electronic communication (having the meaning given to that term in Electronic Communications Act 2000 and the Electronic Signatures Regulations 2002) unless required to be physically delivered under law.
25. These Terms & Conditions are made in accordance with the laws of England & Wales.
